Commercial agreement and commercial contract are two names for the same thing. Whether the term ‘agreement’ or ‘contract’ is used will not affect whether the terms agreed are legally enforceable.

What are the conditions for a commercial contract to be legally enforceable?

Certain conditions must apply for a commercial contract or agreement to be legally enforceable in the UK. Some of the essential requirements for enforceability under commercial contracts law are as follows:

  • A clear offer was made, and this was accepted by all parties to the agreement (this acceptance could take the form of signing the agreement, verbally accepting it or by the conduct of the parties after an offer was made)
